General information
These contractual terms apply to all work to be performed (referred to hereinafter as “language services”), unless agreed otherwise in writing.
The contractor, wordup, is referred to as “wordup” in the following.

Order placement
Unless agreed otherwise by the principal and wordup, an order for language services will be considered to have been placed upon receipt of the text to be edited/translated. Placement of an order for language services by a third party results in the joint and severable liability of said party.

Purpose
When placing an order for a translation, the client must indicate the intended purpose of the translation (e.g. printed matter for external use or internal use for purposes of orientation).

Instructions relating to the execution and delivery of the translation must be communicated upon submission of the materials to be translated.

wordup undertakes to deliver translations to a professional standard commensurate with that of the original material. However, wordup is not obliged to satisfy subjective stylistic preferences on the part of the client.

The original texts supplied to wordup will serve as the basis for translations. wordup cannot accept liability for errors which arise as a result of lack of clarity in the original text, or poor legibility or incompleteness of the original submitted.

Translations intended for publication must always be submitted to wordup for proofreading prior to printing; otherwise wordup cannot accept any liability.

Quotes / Invoicing / Payments
Unless agreed otherwise (e.g. indicative offer), offers issued by wordup are binding.

wordup quotes are valid for six months from the date of issue.

Completed orders for language services will be billed by wordup on the basis of the translated/edited text and the prices valid at the time.

Payments due to wordup must be settled within 10 days of the invoice date.

wordup retains the copyrights on completed translations until payment has been received.

Delivery deadlines
wordup completes translations pursuant to order specifications and quality assurance requirements as quickly as possible.

Guarantees for expedited delivery are offered only by explicit arrangement with wordup; in such cases wordup may charge an express fee and/or qualify their quality guarantee.

Duty of care and confidentiality
wordup pledges to treat all client materials with the utmost care and full confidentiality.

Retention of documents
Unless materials supplied by the client are declared to be original documents or identifiable as such, wordup will assume that they are copies. wordup does not return copies to clients unless expressly requested to do so.

wordup remains responsible for original documents supplied by the client only for as long as they remain in our care.

Cancellation
If a translation order is cancelled or postponed, payment will be owed for the costs of all work performed and charges incurred up to the date of cancellation or postponement.

Force majeure
In cases of force majeure (strikes, fires, industrial actions, natural disasters, acts of war and any other unforeseeable occurrences which demonstrably influence the physical performance of the contract) wordup must inform the client without delay, specifying the circumstances. Force majeure entitles either party, wordup or the client, to withdraw from the contract.

In every case, however, the client will owe wordup payment for work already performed and delivered.

Complaints
Complaints must be submitted to wordup within 30 days of delivery of the work.

If complaints are justified, wordup is entitled to revise the translation concerned or have it translated again.
wordup expressly disclaims any further liability.
